Terms of Service & Supply Agreement

1 Contractual Entity & Scope of Supply

These Terms of Service ("Terms") constitute a legally binding agreement between the customer (hospital, nursing home, clinic, corporate buyer, or individual client) and Phexal Healthcare Private Limited, an authorized medical equipment supplier and distributor holding CDSCO Form MD-42 Registration UP/GHA/MD42/2026/000142, with facilities located at 762, Makanpur, Nyay Khand I, Indirapuram, Ghaziabad, UP - 201014.

By submitting a purchase order, requesting a proforma quotation, paying an invoice, or accepting equipment delivery, you agree to these standard commercial terms.

2 Quotations, Proforma Invoices & Pricing

• Zero Price Display Policy: As an institutional wholesale supplier, public prices are subject to procurement volume, institutional discount slabs, export freight, and statutory taxes. Official pricing is provided via formal GST Proforma Invoice.
• Quotation Validity: All written quotations and proforma estimates remain valid for 30 calendar days from the date of issue unless specified otherwise.
• Taxes & Statutory Levies: Indian Goods and Services Tax (GST) is billed at the prevailing statutory rates (typically 12% or 18% depending on HSN code). Export shipments outside India are processed with appropriate Letter of Undertaking (LUT) / zero-rated export procedures.

3 Standard Warranty & After-Sales Support

Warranty excludes damage resulting from unauthorized tampering, physical drops, improper electrical voltage surges without requisite voltage stabilizers, or unauthorized third-party modifications.

4 Delivery Protocols & Inspection

We offer fast same-day delivery across Delhi-NCR for critical care equipment and ICU setups, subject to order confirmation and stock availability. Pan-India and export shipments are dispatched via accredited logistics partners with transit insurance.

The receiving healthcare facility must inspect the delivered equipment, transit seals, and accompanying calibration test certificates upon receipt. Any transit discrepancy must be noted on the delivery challan or reported within 24 hours of arrival.

5 24/7 ICU Rental Terms & Security Deposit Policy

• Rental equipment is provided for clinical support under monthly or daily tenures as mutually documented in the rental agreement.
• All rental units undergo biomedical metrology verification and chemical sanitization prior to dispatch.
• The renter agrees to operate the equipment in accordance with manufacturer instructions and notify Phexal Healthcare immediately in the event of an operational malfunction for prompt replacement.

6 Jurisdiction & Dispute Resolution

These terms and any dispute or claim arising out of commercial supply shall be governed by and construed in accordance with the laws of India. The courts of Ghaziabad / Gautam Buddha Nagar, Uttar Pradesh, shall have exclusive jurisdiction over any legal proceeding.
